Dear Michael:

You may have learned that our parent company, Bank of North America, and ANC Banking, Inc. announced that they have signed a definitive agreement providing for a merger of equals which is expected to be completed in the first quarter of 1996. The new name of the combined companies with be Bank of North America ANC Corporation, and its headquarters will be in St. Louis. The principal subsidiary banks will be the First Bank of St. Louis, ANC Banking (Iowa) headquartered in Des Moines, ANC Bank (Kansas) headquartered in Kansas City, Constancy National Bank, and Independence National Bank. ANC Banking (St. Louis) will be merged into Constancy National Bank.

I believe that this merger of the two premier midwestern banks will mark the beginning of an exciting and mutually rewarding association. I also believe that it will enhance the ability of Constancy National to serve its customers.

Our aim at Constancy National is "business as usual." We will continue to focus our efforts and resources on St. Louis and Kansas City area businesses and take great pride in our abilities to serve our customers with sophisticated financial services, while maintaining an attentive, personalized banking relationship. As always, our commitment to superior service will remain our priority.
